ARTICLE 1 - GENERAL 1.1 These "Instructions to Bidders" contain important information regarding Bidding procedures and is intended to provide guidance and assistance to Bidders. These Instructions to Bidders do not change nor supersede any provisions of M.G.L. Chapter 149, §§44A through 44J inclusive, and M.G.L. Chapter 30, §39 M, nor any other sections or provisions of Law or the Contract Documents. These Instructions to Bidders are not part of the Contract Documents, unless specifically referenced or itemized in the Owner/Contractor Agreement. 1.2 Definitions set forth in the General Conditions of the Contract for Construction, AIA Document A201, are applicable to these Instructions to Bidders. 1.3 Bidding Documents include the Advertisement or Invitation to Bid, Instructions to Bidders, the Bid Forms and the proposed Contract Documents, including all Addenda issued prior to receipt of Bids. 1.4 Addenda are written or graphic instruments issued prior to the execution of the Contract which modify or interpret the Bidding Documents, including Drawings and Specifications, by additions, deletions, clarifications or corrections. Addenda shall become a part of the Contract Documents when the Agreement is executed. ARTICLE 2 - BIDDER'S REPRESENTATION 2.1 Each Bidder by making his Bid represents that he has read and understands the Bidding Documents. 2.2 Each Bidder by making his Bid represents that he has visited the Site and familiarized himself with the local conditions under which the Work is to be performed. 2.3 Contractors will not be given extra payments for conditions which can be determined by examining the Site and the Bidding Documents. ARTICLE 3 - EXAMINATION OF BIDDING DOCUMENTS AND SITE 3.1 Each Bidder shall examine the Bidding Documents carefully and shall make written requests to Architect for interpretation or correction of ambiguities, inconsistencies and errors therein, which Bidder may discover. Such request must be received by Architect at least seven (7) working days (Saturdays, Sundays, and Holidays excluded) prior to the date of Receipt of Bids. Interpretations or corrections will be issued by Addendum by Architect. Only a written interpretation or correction issued by Addendum shall be binding. Clarifications and interpretations offered by the Awarding Authority, Architect, or any of Architect's consultants, in any form other than a formal written Addenda issued by Architect will be invalid. A) Written requests are to be sent to the Architect via e-mail at d.colli@perkinseastman.com cc: s.oakes@perkinseastman.com 3.2 Prior to the Receipt of Bids, Addenda will be posted to the bid hosting website and each person or firm recorded by the Architect as having received Bidding Documents will be notified electronically, Addenda will be available for inspection wherever the Bidding Documents are kept available for that purpose. Addenda will be issued not later than two (2) working days (Saturdays, Sundays, and Holidays excluded) prior to the date as fixed for the opening of Bids. All addenda so issued shall become part of the Contract Documents. 3.3 Addenda Acknowledgement: Bidders shall acknowledge, in the spaces provided on the Bid Forms, receipt of all Addenda issued. Failure of a Bidder to acknowledge on the Bid Form receipt of all Addenda issued, may be cause for rejection of the Bidder's Bid. Failure of a Bidder to receive any addenda shall not relieve Bidder of any obligations under its Bid as submitted. ARTICLE 4 - PREPARATION OF BIDS 4.1 Bids: refer to appendix “Electronic Bidding” 4.2 Bid Security: refer to appendix “Electronic Bidding” ARTICLE 5 - PERFORMANCE BOND AND LABOR AND MATERIAL PAYMENT BOND 5.1 Furnish and pay for bonds covering faithful performance of the Contract and payment of all obligations arising thereunder. Furnish bonds in such form as the Owner may prescribe and with surety company acceptable to Owner and licensed to conduct business in the Commonwealth of Massachusetts. Bidder shall deliver said bonds to the Owner not later than the date of execution of the Contract. Failure or neglecting to deliver said bonds, as specified, shall be considered as having abandoned the Contract and the Bidder's Bid Security will be retained as liquidated damages. 5.2 Bidder shall require the attorney-in-fact who executes the required Bonds on behalf of the surety to affix thereto a certified and current copy of his power-of-attorney indicating the monetary limit of such power. ARTICLE 7 - ALTERNATES 7.1 Alternates: refer to appendix “Electronic Bidding” 7.2 Selection of Alternates: Alternates, if selected by the Awarding Authority, will be selected in the order listed. 1. Alternates are listed in a numerical sequence in order of priority. Alternates shall be considered in descending numerical sequence, such that no single alternate shall be considered unless every alternate preceding it on the list has been added or subtracted from the bid price (M.G.L. Chapter 149, §44G (B)). 7.3 Alternates May Affect Low Bidder Selection: The low Bidder will be determined on the basis of the sum of the base bid and the alternates selected by the Awarding Authority. ARTICLE 8 - SUBMITTALS 8.1 The successful Bidder shall, within seven days of "Notice of Award," submit to Architect the following information: 1. A designation of the Work to be performed by the successful Bidder with his own forces; 2. names of suppliers of principal items or systems of materials and equipment proposed for the Work; 3. names of subcontractors and other persons or entities (other than Filed Sub-Bidders) proposed for the principal portions of the Work. 8.2 Prior to the award of the Contract, Architect will notify the successful Bidder in writing if either Owner or Architect, after due investigation, have a reasonable objection to any subcontractor, person or entity proposed to be used on the Work. If Owner or Architect has a reasonable objection to any such proposed person or entity, the successful Bidder may, at his option, (1) Dennis Yarmouth Intermediate Middle School January 19, 2021 Dennis Yarmouth Regional School District 100% Construction Documents Perkins Eastman DPC, project #71011 INSTRUCTIONS TO BIDDERS 00 2113 - 3 withdraw his Bid, or (2) submit an acceptable substitute person or entity with an adjustment in his Bid price to cover the difference in cost occasioned by such substitution. Owner may, at his discretion, accept the adjusted Bid amount, or Owner may disqualify the successful Bidder. In the event of either withdrawal or disqualification under this Subparagraph, bidder's Bid Security will not be forfeited, notwithstanding the provisions of Paragraph 9.3. 8.3 Persons and entities proposed by the successful Bidder and to whom Owner and Architect has made no reasonable objection under the provisions of Subparagraph 8.2, shall be used on the Work for which they were proposed and shall not be changed or substituted, except with the written consent of Owner and Architect. ARTICLE 9 - WITHDRAWAL OF BIDS 9.1 Withdrawal: refer to appendix “Electronic Bidding” 9.2 Withdrawn Bids may be resubmitted up to the time designated for the Receipt of Bids. 9.3 No Bid may be withdrawn or modified after the Bid opening except where the award of Contract has been delayed for sixty days. 9.4 Bid Security of Withdrawn Bids: A Bidder's Bid Security will be returned for withdrawn Bids that are withdrawn before the date and time for Receipt of Bids. ARTICLE 10 - TIME FOR COMPLETION 10.1 The Work shall commence at the time stated in the "Notice to Proceed" and shall be substantially completed within the time set forth in the Contract Documents. Notice to proceed may be given to the successful Bidder on any date after Owner has issued a "Notice of Award" or after the successful Bidder has executed the Contract. The successful Bidder shall furnish performance and payment bonds and insurance certificates to Owner before commencing the Work. ARTICLE 11 - AWARD OF CONTRACT 11.1 The Awarding Authority intends to award a Contract on the basis of the lowest responsible and eligible Bid. 11.2. A Contract will be awarded within 30 days after receipt of General Bids (Saturdays, Sundays, and Legal Holidays excluded) to the lowest responsible and eligible Bidder, except in the event of substitution as provided under M.G.L. Chapter 149, §§44E and 44F, in which case the procedure as required by these Sections of Law shall govern the Award of the Contract. No Bid will be considered "accepted" until the Awarding Authority has issued a written "Notice of Award" to be sent by mail or delivered to the address provided by the successful Bidder on its Bid Form. 11.3 Definition of "Lowest Responsible and Eligible Bidder": The "lowest responsible and eligible Bidder" shall mean the General Bidder whose Bid is the lowest of those General Bidders who demonstrably possess the skill, ability, and integrity necessary for faithful performance of the Work, and who meet the requirements for Bidders set forth in M.G.L. Chapter 149, §§44A through 44H inclusively, and who are not debarred from bidding under M.G.L. Chapter 149, §44C, and who can certify that they are able to furnish labor that can work in harmony with all other elements of labor employed or will be employed on the Work. ARTICLE 12 - EXECUTION OF CONTRACT 12.1 The Awarding Authority reserves the right to reject any and all Bids when it is deemed by the Awarding Authority to be in the best interest of the Owner. Dennis Yarmouth Intermediate Middle School January 19, 2021 Dennis Yarmouth Regional School District 100% Construction Documents Perkins Eastman DPC, project #71011 INSTRUCTIONS TO BIDDERS 00 2113 - 4 12.2 Sub-Bids May Be Rejected: The Awarding Authority reserves the right to reject any Filed Sub-Bid if the Awarding Authority determines that the Filed Sub-Bid does not represent the Bid of a person or firm competent to perform the Work as specified; or if less than three Sub-Bids were received for a Filed Sub-Bid category and the Filed Sub-Bid amounts are not acceptable without further competition. 12.3 Each Bidder shall be prepared, if so requested by the Awarding Authority, to present evidence of his experience, qualifications, and financial ability to carry out the terms of the Contract. 12.4 Notwithstanding any delay in the preparation and execution of the Agreement, each Bidder shall be prepared, upon written "Notice of Award" to commence work within seven (7) days following receipt of official written "Order to Proceed" or on date stipulated in such order. 12.5 The successful Bidder shall assist and cooperate with Owner in preparing the Agreement, and within three (3) days following its presentation shall execute the Agreement and return it to Owner. Hard copies of the documents may also be viewed, but not removed, from the offices of: 1) Projectdog Inc., 18 Graf Road - Unit 8, Newburyport, MA 01950, Monday – Friday, 8:30 a.m. to 5:00 p.m. Bidders may obtain one (1) full paper bid set for a refundable deposit of $300.00 in the form of a certified check or money order payable to Projectdog Inc. Bid sets may be mailed for a non-refundable shipping & handling fee of $300.00. Send request with check(s) to Projectdog Inc. at the above address. The full amount of the deposit will be refunded to all responsive Bidders who return the documents in good condition within ten (10) days post-bid. Otherwise, the deposit shall become the property of Project dog Inc. Preparation and Submission of Bids 1. Bid Forms will be posted online at www.Projectdog.com. All required Bid Forms must be completed and submitted in PDF formatted files. The Bidder must fill-in all required fields and signatures either digitally or manually (print, fill-in, and scan to PDF). 2. The Bidder shall access the Projectdog.com E-Bidding System by entering the Project Code 840442 in the project locator box and then selecting “GC E-Bid” or “Sub E-Bid” from the project’s “Project Details” page. The Bidder must enter their bid price as a numeric, whole dollar value only with no punctuation. The E-Bidding system automatically translates the numeric value into words and displays the bid price in both figures and words on the submitted bid form. 3. Bidders may upload (“Add File” or “Replace File”), review (“View File”), Save, submit (“Submit my E-Bid”), or retract (“Retract my E-Bid”) their E-Bid at any time prior to the designated deadline. The server clock is displayed on the project’s E-Bidding page and is the time of record. Bidders must select “Submit my E-Bid” prior to the designated deadline to officially submit their E-Bid online. Once submitted, an E-Bid cannot be edited. To modify a submitted E-Bid, Bidders must retract their submission, make and Save any changes, and then submit the updated E-Bid. Upon submitting or retracting their E-Bid, Bidders will receive a convenience e-mail for informational purposes only. Bidders are encouraged to contact Projectdog if the email is not received. 4. Bidders are strongly encouraged to review their submitted E-Bid package by selecting “View My Bid Package” from the project’s E-Bidding page. Uploaded files may be reviewed individually by selecting “View File”. Timely submission of an E-Bid shall be the full responsibility of the Bidder. It is also the Bidder’s responsibility to ensure that their submitted bid is 100% true, complete, and accurate. Alternates (if applicable) Each Bidder shall acknowledge Alternates by entering the dollar amount and selecting the “Add” or “Subtract” radio button necessitated by each Alternate listed in the corresponding space on the project’s E-Bidding page. If an Alternate does not involve a change in dollar value, the Bidder shall so indicate by typing “0” for the dollar value of that Alternate and by selecting the “Add” radio button in the corresponding space on the project’s E-Bidding page. 1. General Bidders General Bidders shall enter a single amount for each Alternate which shall consist of the Sub- Bidders’ amounts and the amount for work performed by the General Contractor. The Low Bidder will be determined on the basis of the sum of the Base Bid and the accepted Alternates. 2. Filed Sub-Bidders If the Alternate does not affect the sub-trade category of work, the Sub-Bidder shall so indicate by typing “0” for the dollar value of that Alternate and by selecting the “Add” radio button in the corresponding space on the project’s E-Bidding page. Bid Security Bid Security shall be at least five percent (5%) of the greatest possible bid amount, considering all alternates. The Bid Security in the form of a Bid Bond shall be: a) with a surety company qualified to do business in the Commonwealth of Massachusetts and satisfactory to Owner; b) conditional upon the faithful performance by the principal of the agreements contained in the Bid; and c) submitted with your E-Bid online at www.Projectdog.com. Bid Security in the form of cash, or a certified check, treasurer’s or cashier’s check issued by a responsible bank or trust company and made payable to the Owner must be submitted with a completed Cash Bid Bond Affidavit form and received by the Owner before the time of bidding. Hard copies of addenda will not be mailed or faxed. It shall be the sole responsibility of the Contractor to ascertain the existence of any and all addenda. If a bid is submitted prior to an Addendum being issued, the Bidder will receive an e-mail notification for informational purposes only. The Bidder must review the addendum, retract the bid, acknowledge all addenda, and re-submit the bid. If a Bidder fails to acknowledge all addenda their bid may be rejected by the Awarding Authority. Project Details Utilize the search page (Fig 5) or enter a Project Code (Fig 6) to view a project’s “Project Details” page (Fig 7). Acquire Documents Download all project documents. 1. Click “Acquire Documents” link found on a project’s “Project Details” page (Fig 7). 2. Respond to the Legal Notice after reviewing. 3. Click on any file description to open, review, or save a document (Fig 8). Document Recipients Review all plan holders who have acquired documents. 1. Click “Document Recipients” link found on a project’s “Project Details” page (Fig 7). 2. All potential bidders are listed and sorted by company type (Fig 9). Click on a column title to sort alphabetically. Users are automatically added to the project’s “Document Recipients” list to receive update notifications upon viewing any document online. Select “Acquire Documents” to download all bidding documents. How to Submit an E-Bid Complete and save all required forms as PDF files. Please be sure to sign all required signatures either digitally or manually. 1. Select the GC E-Bid or Sub E-Bid link located on the “Project Details” page. Subcontractors select a bidding trade; General Contractors will not be able to submit an E-Bid until the official sub bid tabulation is released by the Awarding Authority. 2. Answer / enter / upload all required areas. Enter all dollar value amounts as a whole dollar values only. 3. Select “Submit My E-Bid.” Review the submitted bid package via the “View My Bid Package” link. It’s that simple! Bidders may save, submit or modify an Electronic Bid (E-Bid) at any time prior to bid close. Once submitted, a bid cannot be edited. To modify a bid the bidder must retract the bid, make any necessary changes, and then submit the bid again. If a bidder fails to acknowledge addenda their bid may be rejected by the Awarding Authority. Once the bid deadline has closed the E-Bid links are no longer available. All E-Bids are compiled in real time upon bid close and published forthwith on the “Project Details” page titled as “List of Bids Received”. Add File Click “Add File” on the E-Bid page to open the Upload Assistant window. Then click “Browse” or “Choose File” to upload a PDF file. Warning E-Bids cannot be submitted unless all areas are complete. Save before adding files or closing the window or E-Bid data may need to be re-entered. Projectdog.com server time is set to industry standards at time-a.nist.gov. Bidders are encouraged to update their computer clock. Bid Bond Affidavit This document is an affidavit form that is drafted to serve as a statement wherein the person (Bidder) who signs it swears under penalty of perjury that the facts and information that are identified in this affidavit are true. This affidavit is in lieu of an insurance Bid Bond certificate. Bidders submitting the Bid Bond Affidavit form and the 5% Bid Deposit in the form of cash, certified check, treasurer’s or cashier’s check issued by a responsible bank or trust company shall ensure that these documents are received by the Awarding Authority prior to the closing of the electronic bid. In the event that the Bid Deposit is less than the required amount as outlined in the project specifications the bid may be rejected.
