Said Agreement is hereinafter referred to as the "Asset Purchase Agreement". The completion of the sale and purchase under the Asset Purchase Agreement is contingent upon the transfer from Seller to Buyer of all licenses and permits with respect to the convenience store business, including the Tobacco Product Sales Permit. The sale and purchase is to be completed upon confirmation of transfer of all licenses and permits and execution of a mutually acceptable Lease between Buyer and the owner of the real property.
