In accordance with the Monitoring Agreement, dated July 22, 2003 signed in
relation to the above referenced project, we would ordinarily send this request to
the developer. However since Mass Housing has taken the property we are
requesting that you please forward your year-end revenue and expense statement
as of December 31, 2008 for the project prepared by your accountant/auditor to:

,� Housing Assistance Corporation (HAC) is serving as the monitoring agent for Mill Pond
The original developer filed for bankruptcy and MassHousing has taken over the project.
This letter is to certify that the project has met the following guidelines under
MassHousing and Chapter 40B. guidelines
As the monitoring agent, HAC did the following:

1. Certified the affordable sales price for Mill Pond
2. Reviewed and approved the marketing and lottery plan and determined that Mill
Pond met the affirmative marketing requirements.
3. Verified that the buyers for thel5 affordable units sold had household income
: that was at or below 80% of the Area Median Income, as established by HUD, for
Barnstable County
