Owner(s) shall pay Contractor interest at the rate ofone atrd one-halfpercent (1.50%) per month on the total poiion
of the price that remains unpaid seven (7) days or more after the date upon which payment is due. If the Owne(s)
refuse to pay for any progress payment which is more than 30 days past due, the Owne(s) shalt be deemed in breach
of this Agreernent aod lbc CoBtsactor may stop work at any time and recover the amounts owed and shall be entitled

If Owner does not pay aDy portion of said cotrtract, Owtror agrees to forfeit any and all solar iDaootiyes atrd agrees to
award them to Solar Wolf Energy. Ifall payments are not rec€ivod, Solar Wolf Energ5r reserves the right to disconnect
the solar array until all payments are brought current.

DATE AND END DATE: The Scope of Work shall corunenco on or about
Contactor will not begin the Work or order materials before the thtd clay following the
signing ofthis Agreement, unless specified in writing. The commencemsnt date is subject to permit s[d variance issue
dates, completed architectural dray/ings and specifications. All installation schedules are weather permitting. Should
snow, rain, wiad, or cold weather coincide with scheduted iastaltation day, the i$tallatiotr will b€ moved to the next
date available. Any conFdct sigDed after Septembq lst is susceptible to weather conditioDs and may not guarantee
installation before year end.
The Work shall continue on a regular basis except for delays b€yord the Contaclor's contsol and is anticipated to be
substantially complet o" O5-16-2O22 . Contractor agiecs to keep Owner informed of any delays that
may interfere with substantial completioo within the estimated period set out above.
The Contractor shall not be liable for any conseque ial, hcidental, delay, emotional dishess or contingent damages
arising from this Coutract. Nor shall the Ownel reduce or holdback firnds in the event of, any delay or nonperformance
caused by natural disasters, pandemics, acts ofGod, strikes, shortages of labor or materials, holidays, delays caused
by completion of other jobs, delays in delivery of items selected by the Ownel inclemeot weather, accidents,
alter&tions or modifications agreed !o by the Owne(s), delays caused by the Own<s), delays by state or municipal
govemmental offices, "Hidden Conditions" or any other cotrtingency beyond the Contractor's control. In addition !o
any other exteusiotrs provided for in this AgreemeDq Contractor shall receive a reasotrable extension of time to
commence and/or complete is Work hereunder following the cessation of any delay and such extensioD shall be set
forth iu a written change order In the event the Contactor is unable to complete the perfomance of its obligation
under this Agreement due to acts of God, strikes, unavailability of supplies or materials, or any other contingency
beyond its control after 30 days, either party may cancel this corEact, in which event the Owne(s) shall be liable to
pay the Coutactor the amount of labor and materials already fumished as well as reasonable prolit aDd overhead.
Such paymort is to be made within seven (7) days after the date of such cancallatioD.
PERJUITS: The Conttactor, under provisiolrs of M.G.L. c. l42A is required to apply for and obtain all construction-
related permits. Contractor shall obtain all permirs requted by govenunent bodies, unless otherwise specified, 8s the
Owner(s) agent. The cost ofsaid permis will be pan ofthe Cost of Work as defined herein and charged to Owne{s).
Owner(s) ryho secure their own construction-relrted permits or desl ryith unregfutcred cotrtrsctors shEll be
erchded from sccess to the Guqratrty Futrd provisiotr of M.G.L. c. 142A. The Ome(s) shall oblain and pay for
the necessary approvals, eas€ments and/or variances required for the Project. Said costs are not included in the total
Agreement Price.
ACCESS TO PROPERTY: The work caDnot proceed uutil this agreement has been fully signed and exe{uted by
both parties. Unless it is otherwise specified in writing herein, it is undentood rhat the Owner is ready fot this work
to begin. Owner shalt grant access lo coDtactor, its agents, rspresqtrtatives, and authorized subcootractors and
vehicles. A rcfusal to porBit the CoDhactor or its represetrtatives to proceed with the woft herein will be deemed a
breach of this agreement.

CHANGE ORDERS: Upon reasonable request of Owners, Contractor may, at ConEaclor's sole discretion, make
changes, additions, or alterations of the Work, and the Contract Price and Substaltial Completion time witl be
modified and set out in a written Change Order signed by both Owners and Contraclor. Such Change Orders shall
bccome part of this Contract. Ownels agrces to pay any increase in the cost ofthe Project as a result ofa C'hange
Order. Ia the evstrt the cost of a Chauge Order is not hown at the time a Change Order is executed, the Cont'actor
shall estimate the cost thereofand Owne$ shall pay the actual cost whether or not it is in excess ofthe estimated cost.
Owners agre€ to make rcquesb conceming any changes, additions, or alterations ilt the Work, directly to Contraclor
aod not to worken, including subconhactors, on the Work Site.
Change order work will be bitled at $ 120 per hour plus materials and will be due at the time of hnal invoice.
Any increase in the Scope of Work set forth in this Ageement which is re4uired by plan checkers or field inspecton
with city or county building/plarming departrnents or requirEd due to any "Hidden Conditions" as defined below, will
be treated as additional work to this Ageement for which the CouEactor will issue a change order. Ifany skuctural
upgrades are deemed necessary by a third-party engineer, there wilt be an additional cost assessed, discussed and
agreed upon with the customer. Prices may also fluctuate due to govemme[t-enforced tariffs.
Any increase in the cost of materials of ten (10%) or more ftom the date the conts&ct is signed, shall entitle the
Contractor to issue a change order tbat increases the Contract Price.
LEDGE OCCURRENCE (GRO[ ND MOUNTS): This agreement does not include an amount to be assessed for
the presence ofledge. Ledge is identified as any rock that is larger thau I cubic yard in size. Ledge will impact cost
and time since with ground mounts, the need to excavate the material is uuseen and undergrouud. If ledge is
discovered, it will be shown to the Owner and a cost cstimate for its removal will be made at that time.
IIIDDEN OR UNT'ORSEEN CONDITIONS : The parties hereby acknowledge ihst in cenain remodeling worl the
demolition ofportions ofthe pre-existing structure may revel additional defecs, conditions or the need for additional
work that could not have been identified by Cotrtactor with reasonable diligence ("Hidden Defects") which must be
repaired, altered or carried out in order to commence or to complete the Scop€ of Work. Fudher, as result of such
Hidden Defects, the Substantial Completior date and total Ageement price may need !o be modified. Any additional
work required will result in the issuance of a written chauge order. The parties agree such modifications are not
avoidable and shall not be considered a breach ofthis Ageement.
Solar Wolf Energ5r is rot responsible for any pre-existing conditions that are not in compliance with applicable
building and euergy codes. Any necessary upgrades are the sole rcspomibility ofthe Owne!.
ONLINE MONITORINGT For online monitoring, Solar Wolf Energy uses the SolarEdge, Sunpower, and factory
provided cellular kits with all iustallations. This device updates every two to six hours. If Owner requests a dircct wire

The Owner or the Owner's represeDtative must be at the property during all installation work and has full authority to
make decisions on the Owner's behalfshould anyproblems arise. This includes but is not limited to module placement,
wirc management, equipment management, and more. If the Owner is financing the system, the Ourler agl:ges to be
present for the duation ofthe installation to sign th€ financing completioD certificate upon completion oflhe work. If
the completion certificate is not signed upon completion ofinstallation, hnal inspections will not be scheduled.
Owner authorizes Contractor the right to display sigtrs atrd advertise at the job site ftom date of execution of this
contract and continuing until 60 days after completion.
If the Owne(s) refuse to pay for any Change Orders by the payment due date, the Owner(s) will be deemed in breach
of this Agreement and the Contraclor may stop work at any time and recover the amounts owed and shall be entitled
to recover its cosls ofcollection, including its reasonable attomey's fees.

INSURANCE: The Contractor agrees to carDr liabitity insurance as is necessary to protoct the Cont'actor, his
employees, subcontractors and the Owne(s) Aom claims for bodily injury, including death, which may arise from the

The Owner(s) will purchase, e{fect and maintain property insurance for all the Work to be performed under this
Ageement. The policy shall be a Homeowner's or Contaclor's Risk type on a replacement cost basis, "Special Form."
The policy shall be equsl lo the full insuable value ofthe Work. The coverage shall not nesessarily extelld to tools
and equipment of the Confactor, subcontractors of any tier, or property owned by employees of any of them, vehiclcs
of any kind, or drawings or specifications. However, the Owner(s) agree to use ordinary care in the storage of tools
and equipment of the Contactor, subcontractors of any tier, and job materials and supplies located on the Premises
for the duration of this Project. This Insurauce shall include the interests of the baok, or other mortgage holder, if
applicable, and the Owner shall insure against "all risks" ofphysical loss or damage.

ARBITRATION
The Contactor aod the Owne(s) hereby muhully agree in advance that in the event that oDe ofthe parties hereto has
a dispute conceming this Agreement, eithcr party submit such dispute to a private arbitration service which has beer
approved by the Office ofConsumer Affairs and Business Regulation and the other party shsll b€ requted to submit
to such arbitratioD as provided in MGL c.l42A.
To the fullest extent permitted by law, each ofthe pa ies herelo shall be eDtitled to have any claims against it decided
ir arbitration, even ifone party initiates an action in the courts. ItI such event, at oither party's option, t]te court actio[
shall be stayed while the matter is decided in arbitratiotr. The prevailing party in any arbitration may p€tition a Court
of competent jurisdiction for enforcement of such decision.
As long as both parties agree, they may at any time aud without consequence opt out of this ArbitratioD agreement
and seek rcdress in any court of comp€tent jurisdiction.
Notwithstanding the foregoing, to the firllest extetrt permitted by law any controversy or claim arising out of or related
to this Agreement irvolving an amount of less than $7,000 (or the maximum limit ofthe court) may be heard in tle
Small Claims Division of the Municipal Court in the county where the Premises aro located and judgmoDt upoD an
award in Small Claims Cout may b€ entered in any Court havingjurisdiction thereof.
NOTICE: The signatures of the parties apply only to the agrc€ment of the parties to altemate dispute resolutiou

This Letter is for the existing roof framing which supports the new PV modules as well as the attachment of
the PV system to existing roof framing. From the field observation report, the roof is made of Asphalt Shingle
roofing over roof plywood supported by 2X4 Trusses at 24 inches. The slope of the roof was approximated to
be 27 degrees.
After review of the field observation data and based on our structural capacity calculation, the existing roof
framing has been determined to be adequate to support the imposed loads without structural upgrades.
Contractor shall verify that existing framing is consistent with the described above before install. Should they
find any discrepancies, a written approval from SEOR is mandatory before proceeding with install. Capacity
calculations were done in accordance with applicable building codes.
