award them to Solar Wolf Energy. If alt payments are not receiyed, Solar Wolf Energy reserves the right to disconnect
the solar aray until all payments are brought curent.
PROPOSED START DATE AND END DATE: The Scope of Work shall commence on or about
12122121 . Contactu will not begin the Work or order materials befors the third day following the
signing ofthis Agreement, unless specified in writing. The commoncement dat€ is subject to permit and variance issue
dates, completed architectural &awings and specifications. All installation schedules are weather permitting. Should
snow, rain, win4 or cold weather coincide with scheduled installation day, the installation will be moved to the rext
date available. Any contsact sigued after Septembe. lst is susceptible to weather conditions and may not guarantee
installation before year end.

caused by natural disasters, pandemics, acts ofGod, strikes, shortages of labor or materials, holidays, delays caused
by comptetion of other jobs, detays in delivery of items selected by the Ownel inclement weather, accideuts,
alterations or modifications agreed to by the Owne(s), delays caused by the Owne(s), delays by state or municipal
govemmental offices, "Hidden Conditions" or any other contingency beyond the Contractor's contol. h additio[ to
atry other extensions provided for in this Agreement, Coots'actor shall receive a reasonable exteNion of time to
commence and./or complete its Work hereunder following the cessation of any delay and such extension shall be set
forth in a written change order In the eyeot the Contsactor is unable to complete the performance of its obligation
under this Ageement due to acts of God, strikes, unavaitability of supplies or materials, or any other contingency
beyond its coDtrol after 30 days, either party may cancel this contracl, ir which eyent the Owner(s) shall be liable to
pay the Contractor the amoutt of labor and materials already firmished as well as reasoDable profit and overhead.
Such paymsnt is to be made within seven (7) days after the date of such cancellation.
PERMITS: The Contractor, under provisions of M.G.L. c. l42A is required to apply for and obtain all constuction-
related permits. Contractor shall obtain all permits required by government bodies, unless otherwise specified, as the
Owne(s) agent. The cost of said permits witl be part ofthe Cost of Work as defined herein and charged to Owner(s).
Owner(s) who secure th€ir own coDstructiotr-relsted permlts or derl wlth utrregfutered cotrtrsctors shall be
ercluded from access to the Gurratrty Fund proyisiotr of M.G.L. c. 142A. The Owneds) shall obtain and pay for
the necessary approvals, easements and/or variances required for tho Project. Said costs arc not iocluded in the total
Agreement Price.
ACCESS TO PROPERTY: The work camot proceed until this agreement has beeD fully signed and executed by
both parties. Unless it is otherwise specified in writing herein, it is undersrood that the Owner is ready for this work
to begin. Owner shall granl access to contractor, its ag€nis, representativas, and authorized subcontacton and

The Owner or the Owuer's reproscntative must be at the prop€rty during all installatiou work and has full authority to
make decisions on the Owner's behalfshould any problerns arise. This includes but is not limited to module placemeot,
wire maoagement, equipmenl management, and more. If the Owner is financhg the system, the Owner agrees to be
prcsent for the duation ofthe installation to sign the frlancing completion ceftificate upon completion ofthe work. If
the completion certificate is not sigoed upon completion ofinstaltation, final inspections will not be scheduled.
Owner authorizes Contractor the right to display signs and advertise at the job site ftom date of execution of this
conEact and contiruing until 60 days after completion.
CIIANGE ORDERS: Upon reasonable request of Ownels, Contactor may, at Contractor's sole discretion, make
changes, additions, or alterations of thc Work, and the Contract Price and Substantial Completion time will be
modified and set out in a vritten Change Order signed by both Owners and Cootraclor. Such Chaage Orders shall
become part of this Conhact. OwneIS agrees to pay any increase in the cost ofthe Projcct as a result ofa Change
Order. In the event the cost of a Change Ordsr is not knontr at the time a Change Order is executed, the Contractor
shall estimate the cost thereofand Owners shall pay the actual cost \vhether or not it is in excess ofthe estimated cost.
Owners agree to make r€quests coucarning any changes, additions, or alterations in the Wo*, dfuectly to Contactor
and not to worken, including subcontractors, on the Work Site.
Change order work will be bitled at $ 120 per hour plus materials and will be due at the time of final invoice.
Ifthe Owne(s) refuse to pay for any Change Orders by the payment due date, tho Owne(s) will be deemed in breach
ofthis Agreemest and the Contractor may stop work at any time and recover the amounts owed ard shall be entitled
to recover its costs ofcollection, including its reasonable attomey's fees.
Aly increase in the Scope of Work set forth in this Agreem€ot \trhich is required by plan checkers or field inspectors
with city or county building/ptarming deparknents or requLed due to any "Hidden Conditious" as defined below, will
be treated as additional work to this Agreement for which the Contractor will issue a change order. If auy structural
upgrades are deemed necessary by a third-party engineer, there will be an additional cost assessed, discussed and
agreed upon with the customer. Prices may also fluctuate du€ to govemment-enforced tariffs.
Any increase in the cost of materials of ten (10%) or more from the date the coDtract is signed, shall entitle the
Contractor to issue a change order that increases tho Contact Price.
LEDGE OCCITRRENCE (GROUND MOUNTS): This agreemcnt does not include an amount to be assessed tor
the presence of ledge. Ledge is ideutified as atry rcck that is larger than I cubic yard in sizo. Ledge will impact cost
and time since with groud mounts, the [oed to excavate the material is unseen and underground. If ledge is
discovered, it will be shown to the Owler alld a cost estimate for its removal will be made at that time.
IIIDDEN OR UNFORSEEN CONDITIONS: The parties hereby aclnowledge that in certain remodeling work, the
demolition ofportions ofthe pre-existing structurc may reveal additional defecs, conditions or the need for additional
work that could not have been identified by Conhactor with reasonable diligence ('Hidden Defects") which must be
repaired, allercd or caried out in orde! to commence or to complete the Scope of Work. Further, as result of such
Hiddel Defects, the Substalrial CompletioD date and total A$eement price may need to be modifie.d. Any additional
work required will result in the issuance ofa written change order. The parties agree such modifications are not
avoidable and shall not be considered a breach ofthis Ageem€nt.

the rights to the online monitoring platform until final payment has been received from the Owrer. Upon receipt, Solar
Wolf Energy will release the online monitoring platform !o the Owner-
INSURANCE; The Contracto! agrees to carry liability insurance as is necessary to protect the Contractor, hN
employees, subcoDtractors and the Owner(s) from claims for bodily injury, including death, which may arise from the
performance of this Agreement by the Contractor. The CoDts'actor hereby warrants that all employees and
subcontractors under its supervision performing Wo* at the Premises are covered by workels' coEpeDsatioD
insuance. Conhactor shall fumish certificates of insurance !o Owne(s) upon request.
The Owner(s) will purchase, effect and maintain property insurance for all rhe Work to be performed under this
Ageement. The policy shall be a Homeowner's or Contractor's Risk type on a replacement cost basis, "Special Form."
The policy shall be equal to the full insuable value of the Work. The coverage shall not necessarily extend !o tools
and equipment of the Contractor, subcontractors ofany tier, or property owned by employees ofany ofthem, vehicles
of any kiud, or drawings or specifications. However, the Owner(s) agree to use ordiBry care in the storage of tools
and equipment of the ConFactor, subcontractors of any tier, and job materials and supplies located on the Premises
for the duration of this Project. This lnsurance shall include the intercsts of the bank, or other mortgage holder, if
applicable, and the Owner shall insure against "all risks" ofphysical loss or damage.
In addition to Owner(s) usual property and liability insurance, Owne(s) agreo to carry insurance in amounts sufficient
to cover claims, of any nature, arising out of or relating to existing or newly constucted stuchles, or any portions
thereol Said insurance shall also include, but is not limited to, coverage for materials and fixtures, delivered, installed,
placed or erected at the Premises or at aDy temporary locatioD. Such insurance shall provide complete replacement
for damaged or lost property due to fire, theft, vandalism and all "extended perils."

ARBITRATION
The Cotrtractor aod the Owne(s) hereby mutually agree in advance that in the event that oue ofthe parties hereto has
a dispute conceming this Agreement, eithor party submit such dispute to a private a$itration service which has been
approved by lhe Office of Consumer Affairs and Business Regulation and the other party shall be required to submit
to such arbitration as provided in MGL c.l42A.
To the fultest extent permitted by law, each ofthe parties hereto shall be eDtitled to have any claims against it decided
in arbitration, cven ifone party initiates an action in the couts. In such event, at either party's option, the cout action
shall be stayed white the matter is decided in a6itration. The prevailing party in any arbitration may petition a Court
of competent jurisdiction for enforcement of such decision.
As loug as both parties agree, they may at any time and without cotrsequence opt out of this Arbitatioo agre€ment
aod seek redress in any cout of competeot jurisdiction.
Notw.ithstanding the foregoing, to the fullest extent permitted by law any controversy or claim arising out of or related
to this Agreement irvolving an amount ofless than $?,000 (or the maximum limit ofthe court) may be heard in the
Small Ctaims Division of the Municipal Coun io the couoty where the Premises are located and judgment upon au
award in Small Claims Court may be entered in any Court having jurisdiction thereof.
NOTICE: The signatures of the parties apply only to the agreement of the parties to altemak dispute resolution
initiated by the Contactor. Thc Owner(s) may initiate altemative dispute resolution even \i,herc this section is not
signed separately by the parties.

The Parties acknowledge that the ongoing COMD-t9 cpidemic,/pandemic and the evolving situation surrounding the
same may friggor stoppages, hindrances and/or detays in Contsactor's (or its subcontractors' or suppliers') ability or
capacity to perform the coDtacted work and/or io produce, deliver, install or service any applicable products,
irrispective of whether such stoppages, hindrances aud/or delays are due to measures imposed by authorities or
deliberately implemented by Cotrtactor (or its subcontractors or supplien) as preventive or curative measures to aYoid
haruirt contaminatioD or exposure of Contractor's (or its subcoukactors' or suppliers') employees. The Parties
therefore recognize that such circumstances shall be considered as a cause for excusable delay and shall not expose
Contractor to contBctual sanctions (including u.ithout limitation delay penalties, liquidated damages or other
damages) or temination for default, provided that Conhactor shall take all reasonable efforts to mitiSate such delays
or impacts.
Should the Contractor be delayed, obstructed, hindered or interfcred with in the cornmcBcemetrl, prosocution or
completion of the Work by any goyernmental directivc or order in no way chargeable to the Contractor, or_by any
extraordinary conditions arising out of war, govemment rcgulations, state o! national emergency, global health
pandemic, additional health or safety regulations, or by any other cause beyond the costol of and not due to any fault,
aeglect, act or omission ofthe Coutractor, its officers, agetrts, employees, subcontsacton or suppliers, then ConEactor
shall be entitled to atr extension of time.
Contractor remains responsible for compliance with atl applicable federal, state and local laws, rules, regulations and
guidance invotving health and safety, includiog, but not timitod to, those la\vs, rules, regulations and guidance issued
by the Center for Disease Control, OSHA and other fedeBl, state and local govemmentsl authorities in responsc to
COVID-I9. This includes, but is not timited to, implementing social distancing measures and acquiring, providing
and property using any personal protective equipment, as uraadated by fedsral, state and local laws. Contactor shall
impGment such safety measuies to fight the spr€ad ofCOVID-19 during the entire duration of the Project without
additional compensation.
The parties waive all claims for Eansmission of COVID-I9 against each other.
RIGHT OF CANCELLATION: Owner(s) may cancel this A$eement at any time prior to midnight of the thtd
business day after the date ofthis transaction. Such cancellation must be done in writing by executing the Notices of
Cancellation attached hereto.
The Contractor may thereafter recover the cost of all uupaid labor aDd materials for all Wort incoryoruted into the
Project (whether invoiced or not) plus reasonable overhead and profit.

This Letter is for the existing roof framing which supports the new PV modules as well as the attachment of
the PV system to existing roof framing. From the field observation report, the roof is made of Asphalt Shingle
roofing over roof plywood supported by 2X4 Rafters at 24 inches. The slope of the roof was approximated to
be 28 degrees.
After review of the field observation data and based on our structural capacity calculation, the existing roof
framing has been determined to be adequate to support the imposed loads without structural upgrades.
Contractor shall verify that existing framing is consistent with the described above before install. Should they
find any discrepancies, a written approval from SEOR is mandatory before proceeding with install. Capacity
calculations were done in accordance with applicable building codes.
