land hereinafter mentioned, by three courses, a total

Southeasterly
by Lots 5 and 6 and a private way, as shown on said
plan, one hundred sixty-four and 91/100

copy of a Resolution adopted at a Meeting of the Board of Directors of Sovereign Bank on the
20th day of January, 2010, with more than two-thirds of the Directors present, and that this
Resolution has not been amended, altered or repealed by any subsequent action and remains in

RESOLVED, the sale for a price in excess of $5,000,000 of any residential or
commercial Real Estate Owned ("REO'l owned by the Bank, which had been acquired as
collateral for or in satisfaction of credit extended by the Bank ("REO") must be approved
by a majority of the Board of Directors, or a majority of the Executive Committee of the

FURTHER RESOLVED, that once such sale is approved by a Level I or Level II
Authorized Officer in accordance with the foregoing resolution, then any Level I or Level
II Authorized Officer shall have the authority to negotiate, enter into, execute and deliver
the Sale Agreement in accordance with this Resolution. Once the Sale Agreement has
been executed in accordance with this Resolution, then any Level I, Level II or Level III
Authorized Officer is hereby authorized to negotiate, execute and deliver all closing
documents, and other supplemental agreements and documents necessary to effectuate the
transaction, including, but not limited to deeds, settlement sheets, title affidavits and other
documents and instruments.
FURTHER RESOLVED, that, the Authorized Officers be, and they hereby are
authorized and directed to take such actions and to execute such documents and
instruments as they, in their sole discretion, deem necessary or desirable to effectuate the
intent of the
foregoing rlions.
