TOTAL CONTRACT PRICE AND PAYMENT SCHEDULE, PAYMENT DISPUTE RESOLUTION A. The CONTRACTOR shall perform the above work and furnish the above materials for the SUM of: Total $172,500.00 (one hundred seventy-two thousand five hundred)plus any amount over given allowances. B. Payment Schedule: 1. 5% ($8,625) is due upon the signing of the contract. 2. 25%($43,125) is due upon starting the work. 3. 20% ($34,500) is due to passing rough inspection. 4. 20% ($34,500) is due upon plaster is done. 5. 10%(17,250) is due upon tile installation complete. 6. 15% (25,875) is due upon final inspection is complete. 7. 5% (8,625) is due upon the project being completed. CONTRACTOR shall inform Owner when a completion milestone has been met or is about to be met. Payment is due immediately upon completion of the milestone listed above. If there is a disagreement or dispute over the sufficiency or appearance of any of the work described in this Agreement,then the parties shall submit the disagreement or dispute to a mutually agreeable design professional or construction management professional to make a binding decision("Neutral"). The appointed Neutral shall make an assessment and give his/her opinion within 24 hours of being appointed to decide each disagreement or dispute. If the parties cannot agree on such a neutral party, then the matter shall be submitted to the American Arbitration Association under its construction industry rules. The costs of any third-party neutral shall be split evenly between the parties. During the pendency of a dispute or disagreement over any payment, unless otherwise agreed to in writing by both parties, CONTRACTOR will suspend all work and the time for completion shall be extended commensurate with the period of that suspension. If a the process to select a Neutral and getting to a decision is accomplished within 72 hours of CONTRACTOR requesting payment after completion of a milestone, then CONTRACTOR shall be responsible for any costs he incurs as a consequence of the delay (including but not limited to rental costs and costs to secure the work during the suspension). If,however, the process to select a Neutral and getting to a decision is not accomplished within 72 hours of CONTRACTOR requesting payment after completion of a milestone, then the CONTRACTOR'S costs, which he incurs as a consequence of the delay (including but not limited to rental costs and costs to secure the work during the suspension), shall be the responsibility of the CONTRACTOR only if the Neutral determines that CONTRACTOR was not entitled to at least 90%of the requested payment. If, however, the Neutral determines that the CONTRACTOR was entitled to at least 90% of the requested payment, then the Owner shall pay CONTRACTOR'S costs, which he incurs as a consequence of the delay (including but not limited to rental costs and costs to secure the work during the suspension)prior to CONTRACTOR resuming the work. Owner's financial insecurity: A Contractor may not demand payments in advance of the dates specified on the payment schedule in cases where the Owner deems him/herself to be financially insecure. Contractor's financial insecurity: In instances where a Contractor deems him/herself to be financially insecure, the Contractor may require that the balance of funds not yet due be placed in a joint escrow account as a prerequisite to continuing the contracted work. Withdrawal from said account would require Owner's or owner's representative's initials •S1 Page 2 the signatures of both parties. C. Special Order Items. In order to meet the completion schedule,the following material/equipment must be ordered before the work begins: tile, bathroom vanity, faucets, and electrical fixtures. D. If the punch list work is completed, except for replacement or installation of a part(s) or material(s)that is not immediately available, and the value of such punch list item(s) totals $500 or less ("de minimis item"), then the Owner shall pay the outstanding balance due and owing under the Contract, minus the value of the remaining de minimis item(s). The Owner shall make final payment of the value of the de minimis item(s) once that item(s) is completed. E. In addition to the Contract SUM, Owner shall also be responsible for paying the costs of the Building Permit and any other municipal fees relating to the Work, including the costs of any required police detail. 4. MISCELLANEOUS TERMS A. UNFORESEEN CONDITIONS. Contractor shall reserve the right to modify this contract due to unforeseen conditions beyond Contractor' s control including, without limitation, flood, fire, acts by utilities or public bodies, unusual weather conditions, acts of god, latent conditions,which were not readily observable by visible inspection before work began. In such instances, adjustments in the contract price shall be made after accounting by Contractor of the increased costs and expenses occasioned by such unforeseen circumstance(s) and the increase time involved beyond the completion date set forth above. B. HAZARDOUS MATERIALS. In the event that Contractor encounters hazardous substances in conducting the work about which Contractor has not been notified in writing prior to execution of this contract,the Contractor reserves the right to cease all work. The Contractor shall not be responsible for cost of removing or remediating such hazardous material and the Homeowner holds the Contractor harmless from any and all liability resulting in such hazardous materials. C. OWNER OBLIGATION TO PEPARE WORK SITE AND WARN RESIDENTS. The Owner shall notify all tenants, abutters and all others who might be affected by the Work of when the work is beginning and shall further notify such persons that they must stay alert and obey any barriers or signs indicating ant prohibited areas during the pendency of the Work. It is Owner's responsibility to provide all residents of the building and their visitors with alternatives, if necessary, for any areas(such as ingress/egress, porches,patios, or parking spaces)that must be closed off for safety reasons during the pendency of the Work. Should Owner fail to take appropriate measures, and such failure leads CONTRACTOR to experience delay or incur additional costs, Owner shall reimburse CONTRACTOR for such resulting delay damages or other costs. Owner shall provide all tenants with the EPA's lead hazard information pamphlet ,which can be found at Owner's or owner's representative's initials A7) Page 3 D. ENCINEER PLANS FOR LARGE PROJECTS—CONFLICTS WITH SPECIFICATIONS. For any Project in which the contract SUM is in excess of$30,000, owner shall provide plans signed by a registered engineer or architect, as appropriate. If there is a conflict between any plans submitted by the Owner or its design professional and the Product Manufacturer's specifications,the manufacturer's specifications shall prevail. E. INSURANCE. The Contractor represents that it has the following insurance in the following amounts and shall furnish the homeowner with a certificate of insurance upon request. Liability: $2,000,000 per occurrence; Worker's Comp: as required by law F. CHANGE ORDERS. If the Owner desires any changes to the work to be performed or the materials to be used or if hazardous materials or unforeseen circumstances warrant any change in said work or materials,the parties agree to execute a Change Order, the form attached hereto, setting forth the change,the reason for the change and the increase time and cost associated with said change. Owner acknowledges that Contractor shall have no obligation to undertake any such change without a duly executed Change Order. The increase to the Contract Sum associated with such Change Orders shall be paid upon the Change Order being signed, unless the change order work is performed on a times and materials basis in which case such additional work shall be invoiced and is payable on a schedule agreed upon in the change order. G. BREACH/COSTS OF COLLECTION. If the Owner breaches this contract,the Contractor shall be entitled to its reasonable costs incurred by such breach, including but not limited to costs of collection and reasonable attorneys fees. Any unpaid request for payment shall be subject to interest at a rate of eighteen (18)percent per annum. In no event shall Contractor ever be liable to Owner for indirect or consequential damages. H. WARRANTY. The Contractor warrants to the Owner that materials and equipment furnished under the Contract will be of good quality and new unless otherwise required or permitted by the Contract Documents,that the Work will be free from defects not inherent in the quality required or permitted and that the Work will conform to the requirements of the Contract Documents and applicable building codes. Work not conforming to these requirements, including substitutions not properly approved and authorized, may be considered defective. The Contractor's warranty excludes remedy for damage or defect caused by abuse, modifications not executed by the Contractor, improper or insufficient maintenance, improper operation, or normal wear and tear and normal usage. If required by the Architect or the Owner,the Contractor shall furnish satisfactory evidence as to the kind and quality of materials and equipment. The Contractor shall remedy any defects due to faulty materials or workmanship as described above and pay for the damage to other work resulting there from, which shall appear within the period of one year from the date of Substantial Completion. The Owner shall give notice of observed defects with reasonable promptness. This warranty is exclusive and Contractor disclaims any other expressed or implied warranty. Notwithstanding anything to the contrary set forth above,the only warranty applicable to any roofing work will be the manufacturer's warranty. For an additional fee, Contractor will assist Owner in seeking remedies for any product defects under the product manufacturer's warranty. Q Owner's or owner's representative's initials !li S Page 4 I. ARBITRATION. All progress payment disputes shall be determined in accordance with the procedure described in Section 3 above. For all other disputes, the following applies: Contractor and Owner agree that any dispute under this Contract shall be submitted to Arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association only upon the written election of Contractor to submit to arbitration. Contractor may, in its sole discretion, withhold such election to arbitrate. Each such dispute, which is submitted to arbitration per this paragraph, shall be heard before a mutually agreeable third-party neutral or, in the absence of such agreement on a Neutral, by the American Arbitration Association in Boston, Massachusetts unless the Contractor specifies some other location in the Greater Boston Area. Alternatively, Contractor and Owner mutually agree in advance that, in the event the Contractor has a dispute concerning this contract, the contractor may submit such dispute to a private arbitration service which has been approved by the Secretary of the Executive Office of Consumer Affairs and Business Regulations and the consumer shall be required to submit to such arbitration as provided in M.G.L. c. 142A. K. ENTIRE AGREEMENT. The parties acknowledge that the within agreement constitutes the entire agreement between the parties and supersedes any prior oral or written agreements. L. MODIFICATION. This agreement may not be changed or modified except by written instrument signed by both parties. M. NONWAIVER. The failure of either party to insist upon strict compliance with any terms of this contract shall NOT be deemed a waiver by that party to insist upon strict compliance in the future. N. GOVERNING LAW. This Agreement will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to choice of law principles. O. ELECTRONIC SIGNATURES. This Agreement may be executed in multiple counterparts and when the respective signature pages are attached together, shall constitute an original agreement. The parties agree that facsimile, PDF or other electronic representation of signatures shall have the same binding force as original signatures. P. REPRESENTATIVE CAPACITY.
