CERTIFICATE OF CLERK
I, Joel J. Brickman, am the duly appointed Clerk of The Cape Cod Five Cents Savings Bank. On June
20, 2019, the Executive Committee of the Board of Directors of The Cape Cod Five Cents Savings Bank
approved the following votes. They have not been revised, revoked or amended and remain in full force
and effect.
VOTED: that the President, CEO, Treasurer, and any other Executive Vice President of the Bank
("Authorized Officers"), and any one of them acting singly, is hereby authorized and
empowered, in the name and on behalf of The Cape Cod Five Cents Savings Bank, to
execute, seal, acknowledge and deliver any and all papers or documents as may be
necessary to enter into a purchase agreement with JDB Acquisition, LLC, or Nominee, in
the amount of One Million Five Hundred Thousand and no/100 Dollars ($1,500,000.00)
to effectuate the sale of and also to enter into a lease agreement for the real estate located
at 186-212 Mid Tech Drive, West Yarmouth, MA, each and all of said documents to be
in such form and on such terms as they deem proper and necessary.
VOTED: to ratify and confirm, to the extent necessary to do so, any agreements or leases
previously signed and delivered, and any other actions taken prior to the date of this Vote
by any of the Authorized Officers with respect to any real estate owned or leased by The
Cape Cod Five Cents Savings Bank;
VOTED: to authorize the Authorized Officers, and any one of them acting singly, to execute on
behalf of The Cape Cod Five Cents Savings Bank, any and all documents which are
necessary or advisable to accomplish the intention of the foregoing votes, which such
changes thereto as any Authorized Officer in his sole discretion, acting singly, may deem
necessary or advisable, and to do any and all other things which any Authorized Officer,
acting singly determines in his sole discretion to be necessary or desirable to carry out
the intention of the foregoing votes;
VOTED: to automatically revoke the authority conferred by these votes of any of the Authorized
Officers if they are no longer employed by The Cape Cod Five Cents Savings Bank, and
VOTED: that these votes supersede any prior votes which confer general authority for the
execution and delivery of documentation for real estate owned or leased by Tile Cape
Cod Five Cents Savings Bank.
