Pursuant to the provisions of the Massachusetts Limited Liability Company Act (the "Act"), the
undersigned, desiring to organize a Massachusetts limited liability company, hereby certifies as follows:
l . Federal Employer Identification Number. 46-5179%9 issued March 24, 2014.
2. Name f the Limited Lia-bUity Company. The name of the limited liability company formed
hereby (the "LLC") is The Howl -A -Day, LLC.
3. OMce of the LLC. The address of the office of the LLC for purposes of Section 5 of the Act is
30 North West Lane, Centerville, MA 02632.
4. Business of the LLC. The general character of the business of the LLC will be the provision of
daily canine day care; overnight kennel care; obedience training and specialized canine training and the
provision of related goods and services, and to engage in and carry on any other business or other activity
permitted to a limited liability company organized under the Act.
5. Date of Dissolution. The LLC shall have no fixed date upon which it shall dissolve.
6. Aeent for Service of Process. The name and address of the resident agent for service of process
for the LLC is Matthew R. White, 30 North West Lane, Centerville MA 02632.
7. Manaser. As of the date hereof, the LLC has two (2) Managers, whose names and addresses are
as follows:

8. Execution of Documents (Secretory ojState). Any Manager of the LLC is authorized to
execute, acknowledge and deliver on behalf of the LLC any documents to be filed with the Secretary of
State of the Commonwealth of Massachusetts.
9. Execution of Recordable Instruments. Any Manager of the LLC is authorized to execute,
acknowledge, deliver and record any recordable instrument purporting to affect an.interest in real
property.
