The following building codes were used in conjunction with the loth Edition of the Massachusetts State Building Code — 780 CMR to generate pertinent design criteria: ASCE 7-16 — Minimum Design Loads for Buildings and Other Structures International Residential Code 2021 Edition (IRC) National Design Specification for Wood Construction 2018 Edition (NDS) Design Criteria Design Gravity Snow/Live Load = 30 Ibs/ft2, Dead Load =12 psf Design Wind Load: Vult =140 mph; Exposure B Risk Category II *Wind loads exceed seismic loads and therefore govern the design Field observations identified the following conditions: The new solar panels will impose an additional dead load of approximately 3 psf. Array #1 & #4 roofs consists of asphalt shingles over plywood sheathing supported by 2x10 rafters at 16" o.c. The rafters are sloped at a 36' pitch and have a maximum projected horizontal span of 18'-0"(t). Array #2 roof consists of asphalt shingles over plywood sheathing supported by 2x6 rafters at 16" o.c. The rafters are sloped at a 23° pitch and have a maximum projected horizontal span of 7'-0"(t). Array #3 consists of asphalt shingles over plywood sheathing supported by 2x8 rafters at 16" o.c. The rafters are sloped at a 10° pitch and have a maximum projected horizontal span of 12'-0"(t). The framing is assumed to be Douglas Fir #2 graded or better. The calculations determined that the existing framing has adequate capacity to support the PV panels as shown in our PV panel layout plan with no structural upgrades required. Class Action Waiver Where permitted under applicable law, you and Venture agree that each may bring claims against the other only in your individual capacity, respectively, and not as a Plaintiff, Claimant or Class Member in any purported class or representative action. Unless both you and Venture agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding. Class action lawsuits, class -wide arbitrations, private attorney -general actions, and any other proceeding(s) where someone acts in a representative capacity are not allowed. Transfer of Title The title of the equipment will pass to you upon the delivery of the equipment to your property. Until the equipment has been delivered and signed for by you or your agent, we retain the title for the equipment. Dispute Resolution In the event of a dispute, both you and we have the right to have the dispute resolved in a court of law. In this dispute resolution provision, you and we agree to limit that right. If there is a dispute, then both you and we must seek resolution of the dispute in either arbitration or small claims court. If your dispute cannot be resolved in small claims court for any reason, then you must seek resolution of your dispute in arbitration. This dispute resolution agreement does not alter any substantive rights that you may have under state or federal law. By signing below, you agree to comply with this dispute resolution provision, which describes both your and our only procedure for resolving any dispute. Customer shall provide access as necessary to the Customer's premises for Company personnel, contractors or agents to perform Company's duties under the Interconnection Tariff. The Company shall have access to the disconnect switch of the Facility at all times. 4. TERMS AND TERMINATION 4.1. This Agreement shall become effective as of the date referenced in the preamble. The Agreement shall continue in full force and effect until the earliest date that one of the following events occurs: a) The Parties agree in writing to terminate the Agreement. b) At 12:01 A.M. on the day following the date the Customer's electric service account through which the Facility is interconnected to Company's EPS is closed or terminated. c) At 12:01 A.M. on the 31st day following the date the Interconnection Service Agreement is terminated. d) At 12:01 A.M. on the 61st day after Company provides written Notice pursuant to Section 6 below to the Customer that Customer is not in compliance with the terms of this Agreement. 5. LIMITATION OF LIABILITY 5.1. Each Party's liability to the other Party for any loss, cost, claim, injury, liability, or expense, including court costs and reasonable attorney's fees, relating to or arising from any act or omission in its performance of this Agreement, shall be limited to the amount of direct damage or liability actually incurred. In no event shall either Party be liable to the other Party for any indirect, incidental, special, consequential, or punitive damages of any kind whatsoever. 5.2. Company shall not be liable to Customer in any manner, whether in tort or contract or under any other theory, for loss or damages of any kind sustained by Customer resulting from existence of, operation of, or lack of operation of the Facility, or termination of the 26-A062 Interconnection Service Agreement, provided such termination is consistent with the terms of the Interconnection Service Agreement, except to the extent such loss or damage is caused by the negligence or willful misconduct of the Company. 6. ASSIGNMENT Except as provided herein, Customer shall not voluntarily assign its rights or obligations, in whole or in part, under this Agreement without Company's written consent. Any assignment Customer purports to make without Company's written consent shall not be valid. Company shall not unreasonably withhold or delay its consent to Customer's assignment of this Agreement. Notwithstanding the above, Company's consent will not be required for any assignment made by Customer to an Affiliate or as collateral security in connection with a financing transaction. In all events, the Customer will not be relieved of its obligations under this Agreement unless, and until the assignee assumes in writing all obligations of this Agreement and notifies the Company of such assumption. 9. NON -WAIVER None of the provisions of this Agreement shall be considered waived by a Party unless such waiver is given in writing. GOVERNING LAW, JURISDICTION OF COMMISSION, INCLUSION OF COMPANY'S TARIFFS,,PE;INED TERMS 10.1. This Agreement shall be interpreted, governed, and construed under the I�wlsgf the Commonwealth of Massachusetts without giving effect to choice of law provisions that might apply to the law of a different jurisdiction. 10.2. The interconnection and services provided under this Agreement shall at all times be subject to terms and conditions set forth in the tariffs applicable to the electric service provided by Company. Copies of such tariffs are available at the Company's web site or by request to Company and are incorporated into this Agreement by this reference. 10.3. Notwithstanding any other provisions of this Agreement, Company shall have the right to unilaterally file with the Department, pursuant to the Department's rules and regulations, an application for change in tariffs, rates, charges, classification, service or any agreement relating thereto. 10.4. When initially capitalized, whether in the singular or in the plural, the terms used herein shall have the meanings assigned to them either in this Agreement or in the Interconnection Tariff. 11. AMENDMENTS AND MODIFICATION This Agreement can only be amended or modified by a written agreement signed by both Parties. 12. ENTIRE AGREEMENT This Agreement, including any attachments or appendices, is entered into pursuant to the Interconnection Service Agreement and the Interconnection Tariff. Together this Agreement, the Interconnection Service Agreement, and the Interconnection Tariff represent the entire understanding between the Parties, their agents, and employees as to the subject matter of this Agreement. Each party also represents that in entering into this Agreement, it has not relied on any promise, inducement, representation, warranty, agreement or other statement not set forth in this Agreement or In the Company's Interconnection Tariff. 13. INDEMNIFICATION Except as the Commonwealth is precluded from pledging credit by Section 1 of Article 62 of the Amendments to the Constitution of the Commonwealth of Massachusetts, and except and agents (including, but not limited to, Affiliates and contractors and their employees), harmless from and against all liabilities, damages, losses, penalties, claims, demands, suits and proceedings of any nature whatsoever for personal injury (including death) or property damages to unaffiliated third parties that arise out of or are in any manner connected with the performance of this Agreement by that Party except to the extent that such injury or damages to unaffiliated third parties may be attributable to the negligence or willful misconduct of the Party seeking indemnification. 14.
