5.Payme�t Due upon Receipt of Invoice:Inwices shall be provided to Owner at setvice intervals by Opustor.
Owner agrees to pay aU imvoices upon receipt Unpaid invoices shall beer interest at the�ate of 1.5%per month
after thirty(30)days, Ownec eg�ees to pay all cost oF collection incurred by Operator for�mpaid inwices
including but na limited m reasonebie attomey`s frcs and cosrs of litigation and wllectivn. This obliption
shall survive the tennmaEion of this Agreement.
6.AssignmenE by Operator:71u patties expressly sgree that the Operatnr may irot assign its righu and
obligations under this P��raement without writeen consent of Owner.
?.Assignment by Owner:At tm�e of sale ofthe property,all rig�u and ob(igations under this A�eement are
terminated provided the sellot noti5es Operator in writing.
8.Indemnificadon:Owner shall indemnify,defend,sa�e and hoId harmless Operator,iu ot6cers,agents
members,directors,agents,employees,and attomeys from any daim,imjm-y,damage,demand or action erising
out of Owner's breach of this Agreement and/or its owneeship andlor conuol oftlte Property.
9.Entice A�eement:This tlgeemeat embocties the entire agreemrnt and understanding between the patties
harem with respect to the subject matter he�eof and siepercedes all prior oral or written ageemer,ts and
understandings ielating to the matteY}ierefof. No statement,representation,warranty,eovenant or ageement of
any kind not expressly sec forth m this P.greement shall affeck or be used to inteipret,ebange or restrid,the
express terms and provisions ofthis Agreement.
]0.Amendment The temu and provisions of this Agreement may be modi5ed or amended only by,written
agreemrnt e�cecuted by ibe partiu heceto.
l 1. Waiver.Operatofs nor Owners action in nM enfiorcing a brwch of eny part of this Ag�eeme�R shall aot
prevent it from enforcing its ri�rts as to any other breaches of this Ageament that Operator or Owmer later
discovers.
12.Binding upon Successors:This Agecment shall be binding upon and shall inime to the benefit of the panies
hereto ared theit respurive heirs,repeesentsnives,successors and assignc_
13.Choice of Law/Choice of FaumlCim�ent to 7urisdictian,¢te.:If aip�dispute arises betwean the parties
herein they agree thst t8e disputes shall he r��+lved in the Courts and under the j�sisdictio�of the
